Constitution

ARTICLE I - NAME

The name of this organization shall be the Adult Softball Association of Irving, Incorporated (A.S.A.I.), a non-profit organization.

ARTICLE II - OBJECTIVES

Section A:

To develop, promote, maintain and foster adult softball and encourage friendly competition and furnish wholesome recreation among teams under the jurisdiction of the City of Irving Parks and Recreation Department.

Section B:

The development of good citizenship and a spirit of sportsmanship for all persons involved.

Section C:

To meet all requirements necessary to receive co-sponsorship from the City of Irving.

ARTICLE III - MEMBERSHIP

Membership shall be open to any person of good moral character interested in participating in and/or promoting the objectives of this organization, and who willingly obey all by-laws, playing rules and regulations. Membership is limited to those eighteen (18) years of age, or sixteen (16) years of age with parent/guardian signature on official League Roster.

ARTICLE IV - OFFICERS/BOARD OF DIRECTORS DUTIES

Section A:
The Association shall be governed by a Board of Directors. This Board shall consist of nine (9) members selected in the following manner:

1. Directors - Three (3) elected Annually for a three (3) year term.

2. President - Elected by the Board of Directors.

3. Vice-President, Secretary, and Treasurer and League Directors - appointed by the President from elected board members, subject to approval by the Board of Directors.

Section B:
1. The Board will meet upon call, but at least four (4) times a year, once after every quarter starting in January on the second Thursday of the month.

2. Special meetings will be called by the President, Vice-President, or Secretary upon request by at least two (2) Board members.

3. A quorum for the transaction of business shall consist of one (1) more than half the total membership of the Board of Directors.

Section C:
1. A vacancy in the office of President shall be filled by the advancement of the Vice-President. The Vice-President shall be the President and will retain the title of President for that calendar year. When a vacancy occurs in the office of Vice-President, the President will appoint (with Board approval) a person to fill the office for the remainder of the term for which the retired official was originally elected.

2. Vacancies occurring shall be filled at the next Board meeting, after such vacancies occur.

3. Board members/officers may be removed from the Board by a two-thirds majority, six (6) members, of the Board members.

Section D:
A qualified team representative" is a coach/ manager or assistant coach who is on the roll of the Adult Softball Association of Irving and has had a team participate in the previous calendar year. Each team on the roll will be allowed one (1) vote by their “Qualified Team Representative” if in attendance at the annual meeting to elect Directors.
Section E:
1. President shall: preside at all meetings of the Board of Directors; enforce the Constitution and By-Laws; rule on questions of order; sign all official documents; appoint standing committees and other special committees deemed necessary; perform all other duties normally associated with the office.

2. Vice-President shall: assume the duties of the President in the absence of the latter; assume the duties of "DIRECTOR"; perform all other duties normally associated with the office.

3. Secretary shall: keep a record of the proceedings of all meetings and send out copies of the minutes, within two (2) weeks, to all members of the Board of Directors; keep membership roll up to date; notify all members of the Board of Directors of all meetings; publish notices of the Spring meeting, at least one (1) month prior; perform all other duties normally associated with the office.

4. Treasurer shall: take charge of all funds received by the organization and deposit same to the account of the organization, in the depository approved by the Board of Directors; pay bills approved by the Board of Directors; get the signatures of two (2) bonded officers/Directors on all drafts drawn against the organization; keep a financial record covering receipts, expenditures and balances; submit financial reports to authorized parties on request; and perform all other duties normally associated with the office.

5. Director shall: preside on behalf of his/her division of play at all official Board meetings; oversee the operation of his/her division of play; make recommendations for Board approval on necessary matters concerning his/her division of play; make recommendations for Board approval of Commissioners; participate on Standing Committees and other committees appointed by the Board; and perform all other duties normally associated with the office.

6. A Commissioner, selected by each Director, shall: assist his/her immediate Director in the planning and operation of the Adult Softball program; report on a timely basis the status of his/her league(s); organize Review Protest Committee meetings for participants under his/her jurisdiction; organize and administer tournaments for his/her league(s) (including post season tournaments); inform participants and IPAR of event and schedule changes; perform all other duties normally associated with the position.

7. Advisory Directors shall: be eligible to attend and participate in all A.S.A.I. Board meetings and functions. Represent and vote for any absent Board member when specifically directed to do so. Be an official representative of A.S.A.I., when directed by the President or by the Board of Directors, and be an authorized voting member of any protest or review hearing. Advisory Directors, when appointed, will serve at the pleasure of the Board.

8. Legal Counsel shall: be a non-voting member of the Board; be called upon by the Board of Directors upon matters of judicial concern to the association; legal counsel shall render opinion and advice on said matters and represent the association in a court of law if required.

ARTICLE V - AMENDMENTS

Section A:
This Constitution may be amended by a majority vote of the league members in attendance or this Constitution may be amended by a two-thirds majority, six (6) members, of the Board of Directors only if there is no league member in attendance at the meeting and if it needs to be amended.
Section B:
An Amendment must be proposed in the following manner:

Any member may propose an amendment to be considered by the Board for recommendation. The proposal must be made in writing and presented to the Board thirty (30) days prior to the next league meeting.

ARTICLE VI - CO-SPONSORSHIP

The Parks and Recreation Department may designate an official representative to sit in on any meeting. The designated representative shall act only in an advisory capacity, and as a liaison between the Department and the Board; he/she shall not have voting powers. The organization agrees to abide by all Parks and Recreation Department rules, regulations and city policies.

ARTICLE VII - DOCUMENTS

A copy of the Constitution and By-Laws shall be on file in the City of Irving Parks and Recreation Department office. A list of officers, schedules, financial reports, and/or events shall be submitted each season.

ARTICLE VIII - DISBANDMENT

If, for any reason, the Adult Softball Association of Irving should dissolve, all funds accumulated in its treasury will be transferred to the City of Irving.

ARTICLE IX - ROBERT'S RULES OF ORDER

The most current revision of Robert's Rules of Order will be used in effect on any areas of the Constitution and By-Laws not specified.
