ADULT SOFTBALL ASSOCIATION OF IRVING INC. BY-LAWS
The By-Laws of the Adult Softball Association of Irving will be in harmony with the Irving Parks and Recreation Board and the policies of the City of Irving.
ARTICLE I - ORDER OF BUSINESS
The order of business shall include:
1) APPROVAL OF MINUTES OF PREVIOUS MEETING.
2) APPROVAL OF FINANCIAL REPORTS.
3) UNFINISHED BUSINESS.
4) NEW BUSINESS.
5) REPORTS OF OFFICERS AND COMMITTEES.
ARTICLE II - ELECTION OF DIRECTORS AND OFFICERS
The election of Directors and Officers shall be held at the last league meeting of the current year. A nominating committee shall be appointed by the President and shall convene and make recommendations prior to the spring league meeting. Any person wishing to be considered for a position on the Board of Directors shall submit said request in writing to the nominating committee prior to the end of the current year.
Terms of Board Members:
1) DIRECTORS - TWO (2) ELECTED EACH YEAR FOR A THREE (3) YEAR TERM.
PRESIDENT - ELECTED EACH YEAR BY THE BOARD OF DIRECTORS.
OTHER OFFICERS AND LEAGUE DIRECTORS APPOINTED BY PRESIDENT FROM THE ELECTED BOARD MEMBERS SUBJECT TO APPROVAL BY THE BOARD OF DIRECTORS.
2) TO SERVE IN THE CAPACITY OF PRESIDENT, HE/SHE MUST HAVE BEEN A BOARD MEMBER FOR AT LEAST ONE (1) YEAR.
ARTICLE III - PLAYING RULES
Playing rules for A.S.A.I. will be determined by Board of Directors. The A.S.A.I. Board of Directors reserves the right to make decisions, rulings or interpretations of matters not listed in the Playing Rules and Regulations. All rules and regulations are subject to review and modification by the Irving Parks and Recreation Department.
ARTICLE IV - REVIEW AND PROTEST HEARINGS
Section A: The Adult Softball Association will conduct protest, discipline and review hearings presented to them concerning matters involving league play. A five (5) member committee consisting of officers, directors, and commissioners will hear all protests brought before the association.
Section B: Only interpretations of the rules and player eligibility can be protested. An official's judgment call cannot be protested. A rule interpretation protest must be made to the official at the time of the play in question. The scorekeeper must note on official score sheet the status of the game at the time of the play in question. A written protest, accompanied by a $75.00 cash deposit, must be turned in to an appropriate League Representative within forty-eight (48) hours after the game; seventy-two (72) hours if the game in question was played on Friday or the weekend. The protest must be signed by the Coach or Manager.
If the protest is allowed, the $75.00 deposit will be refunded; if the protest is not allowed, the $75.00 deposit will be retained and used in the operation of the league.
NOTE: A protesting team must complete the game, which they have protested to the officials; otherwise, a forfeit is declared and a protest cannot be filed.
Section C: All persons involved will be notified of time and place of hearing.
Section D: Each team or individual will be allowed to state their side of the incident. Parties will be heard separately.
Section E: The committee will review the facts and make their decision. All parties involved will be notified of the results. Board decision will be final.
ARTICLE V - OFFICIALS
The officiating of games shall be conducted by Umpires approved by the Adult Softball Association of Irving.
United States Specialty Sports Association (USSSA and Adult Softball Association of Irving (A.S.A.I.) rules will be administered by the Umpires during regular season play as well as tournaments.
Umpires are representatives of the City of Irving Parks and Recreation Department and the A.S.A.I. and have the authority, at the playing site, to control the actions of players and spectators before, during and after all scheduled games.
ARTICLE VI – FINANCIAL
Officers who are approved by their respective Board of Directors to disburse or receive organizational funds shall furnish proof of bonding in the amount of $100,000.00.
The Adult Softball Association of Irving will establish a bank account. All funds derived from entry fees, tournaments, etc. will be deposited in this account. The Adult Softball Association of Irving will be required to submit a financial report at the end of each season to the Irving Parks and Recreation Administrative Office.
The account will be balanced monthly and certified as such by the Board.
Numbered checks will be used in purchases and expenditures made by the Board and filed for audit by authorized parties.
Checks will be signed by two (2) bonded Officers/Directors.
ARTICLE VII – SUPPLIES
All equipment, supplies, and various other items purchased from these funds become the property of the Adult Softball Association of Irving. If the organization dissolves, the items then become the property of the City of Irving.
ARTICLE VIII – EXPENDITURES
Any expenditure to exceed $500.00 for purchase of supplies or equipment must have the approval of the Board. Payment of officials and scorekeepers will be authorized by the Treasurer, President, or Vice-President of the Adult Softball Association of Irving.
ARTICLE IX – AMENDMENTS
The By-Laws may be amended by a two-thirds majority vote, four (4) members, of the Board of Directors. Likewise, any motion carried by a majority vote at a stated meeting cannot be rescinded unless by two-thirds majority, four (4) members, of the Board of Directors.
THIS IS TO CERTIFY THAT THE ATTACHED CONSTITUTION AND BY-LAWS HAVE BEEN VOTED ON AND ADOPTED BY THE ADULT SOFTBALL ASSOCIATION OF IRVING AT A MEETING ON FEBRUARY 21, 1984.
